ValueClick Acquires Web Clients, E-Babylon

Westlake Village-based ValueClick this morning said that it has agreed to buy Web Marketing Holdings (Web Clients) for $141M. Web Clients generates leads for advertisers through its online web sites, opt-in email database, and affiliate network. ValueClick also said that it has agreed to acquire E-Babylon, an online retailer of ink and toner products. Web Clients provides lead generation marketing services, focused on a cost per lead model of advertising. The firm runs more than a 100 promotional websites geared towards collecting leads. ValueClick reports that Web Clients generated $59M in revenues last year. The Web Clients deal is a combination of $122M in cash, 1.8M shares of ValueClick common stock, and 350,000 options to purchase shares of ValueClick. ValueClick said that Simi Valley-based E-Babylon had revenues of $17M in 2004, and that it would pay $11.7 million in cash plus $3M in cash based on the value of E-Babylon's fulfillment center.
